Business law does not stop at national borders. With multinational players in diverse industries spanning across the globe, the legal community is and will be challenged to advise multijurisdictional: be it an investment in a foreign company, be it the acquisition of a competitor, be it the formation of a Joint Venture in India or China or the divestment of a sector that no longer fits in the overall portfolio. This course is aimed at setting the legal basics to such business transactions with a focus on international mergers and acquisitions. Heavily influenced by large US law firms, multinational acquisitions are nowadays based on US standards – even though the underlying law may be different. We will take a look at the typical issues and pitfalls in an M&A transaction, take a deep dive into a sample Share Purchase Agreement, learn what could be buyer- or seller-friendly and will see how new legal developments influence the due diligence. Where appropriate, we will link to relevant court or arbitration cases. At the end, in a practical part, the students shall simulate a typical M&A negotiation with a fictional target company.                                                   Pre-requisites: Students should have a basic understanding of contract law. Business law / law on corporations is a plus.
